Terms of Service
The short version. You can design a report tool and preview it before you pay anything. If you buy it for $49 USD, you get a license to use that tool for your own work, as long as you like. You keep everything in your reports. Check the tool's output before relying on it. If the tool doesn't work as previewed, contact us and we'll fix it or refund you (see the Refund Policy). Nothing here takes away rights that consumer protection laws give you.
1. The service
Wheelbarrow lets you add report files (PDF, Excel or CSV), describe the report you want, see a preview built from your files, and buy a downloadable tool (a single .html file) that builds that report as an Excel workbook from reports with the same layout. You pay only when you buy the tool; designing and previewing come first. The preview shows totals and the first rows of each tab; the full report is produced by the tool you buy.
2. Who can use it
You must be at least 18, or the age of majority where you live, and able to enter into a contract. If you use Wheelbarrow for an organization, you confirm you can accept these terms for it, and "you" includes that organization.
3. Your reports and designs
- You keep all rights to the reports and descriptions you provide ("your content").
- You give us permission to process your content only to design, preview and deliver your tool and to support you, as described in our Privacy Policy.
- You confirm you have the right to use your content this way, including any personal information it contains, and that doing so doesn't break any law or obligation you have (for example, a confidentiality agreement).
- Don't add content you aren't allowed to share, or content that includes payment card numbers, government ID numbers, health information or passwords.
4. Buying a tool
- Price. The price is shown before you buy, in USD. Sales tax, GST, HST or QST is added at checkout where it applies. Your bank may charge a currency conversion fee.
- Payment. Payments are processed by Stripe. We don't see or store your card details.
- Delivery. You can download your tool right after payment. Stripe emails you a receipt. Keep a copy of these terms and the Refund Policy with it.
- No subscription. It's a one-time payment. We never charge you again unless you buy another tool.
- Refunds. See the Refund Policy, which is part of these terms.
5. Your license to the tool
When you pay, we grant you a perpetual, non-exclusive license to use your tool, and the workbooks it creates, for your own work and your organization's internal work, on any number of computers your organization uses. Each tool shows who it is licensed to. You may not sell, sublicense or redistribute the tool to other organizations, offer it as a service to others, or remove the license line. The workbooks your tool creates are yours to use however you like.
The tool includes open-source software that is licensed to you under its own licenses, listed in the tool and at /notices. Nothing in these terms limits your rights under those licenses.
6. Acceptable use
Don't use Wheelbarrow to break the law or infringe anyone's rights; to interfere with, overload or probe the security of our systems; to get around usage limits or payment; to copy or reverse-engineer the service to build a competing one; or to try to get designs without paying for them.
7. Check your reports
Your tool is designed automatically from your description and may contain mistakes. It reads reports by their layout and applies the rules in your design. It can only be as accurate as the files you give it, and it may not read reports correctly if your software changes their layout. You're responsible for checking the workbooks it creates before relying on them for business, financial, legal or safety decisions.
8. Warranty and disclaimer
We'll provide the service with reasonable care and skill, and your tool will build the report shown in your preview from reports laid out like the ones you previewed with. If it doesn't, our responsibility is to fix it or refund you as set out in the Refund Policy. Except for that and any warranties that the law doesn't allow us to exclude, Wheelbarrow and the tools are provided "as is", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
9. Limits on our liability
To the extent the law allows, we aren't liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, and our total liability for any claim relating to Wheelbarrow is limited to the amount you paid us for the tool involved in the 12 months before the claim. These limits don't apply to liability that can't be limited by law, including liability for our gross negligence or intentional misconduct, or where your consumer protection law doesn't allow them.
10. Consumers
If you buy as a consumer, you have rights under the consumer protection laws of your province, state or country that these terms can't change or take away. If any part of these terms conflicts with those rights, those rights win. Residents of Quebec: nothing in these terms limits your rights under the Consumer Protection Act, including the warranties it provides.
11. Changes
We may update these terms. Changes apply to purchases made after the new effective date shown above. The terms you accepted when you bought a tool continue to apply to that purchase.
12. Ending use
You can stop using Wheelbarrow at any time. We may suspend access to the website for anyone who breaks these terms. If we ever shut down the service, tools you've bought keep working, because they run on your computer. Sections 3, 5 (for tools already paid for), 7 to 10, 13 and 14 survive.
13. Governing law and disputes
These terms are governed by the laws of Texas and applicable U.S. federal law, except where your consumer protection law gives you the right to rely on the law of, or bring a claim in, the place where you live. Please contact us first. Most issues can be solved quickly by email.
14. General
These terms, the Refund Policy and the Privacy Policy are the whole agreement between us about Wheelbarrow. If any part is found unenforceable, the rest stays in effect. We may assign these terms to a buyer of the business. Microsoft Excel, Microsoft Edge, Google Chrome and Stripe are trademarks of their owners and are mentioned only to describe compatibility. Wheelbarrow isn't affiliated with or endorsed by them.
These terms are available in French at /terms/fr. If you are in Quebec, the French version is offered to you first, and you may choose to be bound by the English version only after receiving it.
